Resumo: This study aims to analyse the limits of the control over the public investment in the social capital of private companies – due to their private profile – and it includes the critical analysis of the jurisprudence of the Federal Court of Audit (Tribunal de Contas da União) related to the subject. Contemporarily, the governmental business performance has been diversifying its possibilities. In the economic context, considering the administrative discretionary field, the public organs and entities have the choice to join the private initiative in a corporate partnership, sharing risks and responsibilities through the public investment in the share capital of private companies without acquiring the power of control. Despite of the legal regulation, the phenomenon of private companies with public minority shareholding denotes dissension regarding its characterization and the legal regime to be applied. The uncertainty seats on the external control over the phenomenonO presente estudo objetiva analisar os limites do exercício do controle sobre o investimento do Estado no capital social de empresas privadas, em vista da natureza privada das mesmas, incluindo a análise crítica da jurisprudência do Tribunal de Contas da União sobre o tema. Na sua expressão contemporânea, a atuação empresarial do Estado tem diversificado as formas de que se reveste. Muitas vezes, em um terreno de discricionariedade administrativa, no âmbito da sua atuação na economia, os órgãos e entidades da Administração podem optar por formar com a iniciativa privada parcerias societárias mediante o compartilhamento de riscos e responsabilidades, com investimento público no capital social de sociedades privadas sem a aquisição do poder de controle. A par da clara existência de definições legislativas, o fenômeno das sociedades privadas com participação minoritária do Estado é marcado por dissensos acerca de sua caracterização e do regime jurídico aplicável.
