Resumo: | This doctoral dissertation addresses, in three individual chapters, some of the basic, interdisciplinary and yet unexplored questions regarding the outcome prediction of insolvency and reorganization procedures in Brazil, especially regarding their legal and institutional aspects. My focus will be placed on the framework created after the promulgation of Brazil’s Bankruptcy Code (Law n. 11.101 / 2005). In the first chapter, using time series analysis, I develop prediction models of the monthly aggregated number of insolvency procedures fillings, using macroeconomic fluctuations, such as interest rates, exchange rates and economic activity, as explanatory variables. Also, my analysis will be compartmentalized, dividing firms according to their size and sector. Thus, it will be possible to perceive how Brazilian companies respond, in terms of financial distress, to real (internal and external) and monetary variations - as well as if there is a sensible difference in corporate behavior due firm size and sector differences. In the second chapter, I test models linear and binary models (probit and multinomial logit) to identify the determinants of the outcome of reorganization proceedings in Brazil. Using a novel dataset, I try to uncover some relevant and unknown information in Brazil. The outcome of a reorganization proceeding (that is, the approval, or not, of the reorganization plan) will be tested as a function of firm-specific accounting variables as well as some institutional variables regarding the Judiciary and the creditors – such as whether the judge adjudicating the case is specialized in bankruptcy cases, if the distressed firm hired specialized lawyers or whether or not there is a state-owned bank in the proceeding. In the last chapter, using the results previously found in this dissertation, I’ll face some public policy issues related to the reform of the Brazilian Bankruptcy Code. |

In the last chapter, using the results previously found in this dissertation, I’ll face some public policy issues related to the reform of the Brazilian Bankruptcy Code.A tese abordará, em três capítulos individualizados, questões basilares, interdisciplinares e ainda latentes quanto aos determinantes de falências e recuperações judiciais de empresas no Brasil, especialmente na relação entre as aspectos financeiros e jurídico-institucionais. Como ênfase, será colocado em pauta o cenário posterior à promulgação da Lei nº. 11.101/2005 no Brasil. No primeiro capítulo serão desenvolvidos modelos de previsão, em séries de tempo, do número agregado mensal de falências no Brasil a partir de variáveis macroeconômicas, como taxa de juros, taxa de câmbio e nível de atividade econômica nacional. Ainda, a análise será segmentada de acordo com o tamanho e setor de atividade econômica da empresa em situação de dificuldade financeira. Assim, será possível perceber como as empresas brasileiras respondem, em termos falimentares, a fatores reais (internos e externos) e monetários – bem como se há diferença sensível no comportamento empresarial em razão do tamanho e setor de atuação das sociedades. No segundo capítulo serão testados modelos, em regressão linear e de escolhas binárias (probit e logit multinomial), para identificação dos determinantes do resultado de processos de recuperação judicial no Brasil. Com uma inédita e exclusiva base de dados, pretende-se obter informações relevantes e desconhecidas no Brasil. A partir disso, testar-se-á o resultado de uma recuperação judicial (aprovação do plano de recuperação ou não) em função de variáveis contábeis da empresa recuperanda e de fatores estruturais de cada recuperação (como a existência ou não de bancos públicos entre os credores, a competência exclusiva do julgador para casos falimentares, a contratação de advogados especializados e o número de credores da recuperação). Isso servirá para informar, de um lado, as instituições financeiras acerca de elementos de risco de crédito – afetando as políticas de concessão de empréstimos – e, de outro, formuladores de políticas públicas – objetivando tornar o procedimento de recuperação mais eficiente e benéfico a todos envolvidos no mercado de crédito. No último capítulo serão enfrentadas possíveis vias de reforma da Lei nº. 11.101/2005 a partir: (i) dos resultados encontrados nos capítulos anteriores; e (ii) de revisão de literatura nacional e internacional em termos falimentares.
