Resumo: The objective of this study is to discuss the practice of good corporate governance in a Brazilian toll concessionaire and its effectiveness on business management. The manner in which counselors and participants of the Board of Directors interact in administrating the company is herein discussed using a case study to focus on the best practices of corporate governance. The author of this research interviewed the board of directors and top ranking officials in 2005 with the aim of investigating the model of corporate governance adopted by the toll concessionaire and then comparing it with the best practices of the Brazilian Institute of Corporate Governance (IBGC), as well as with others institutions of repute. The perception counselors and managers have about the use of these practices as a tool to improve the value of the stock for its shareholders, was also measured. A quantitative analysis of the results of the research indicated that the model of corporate governance of the company could be classified as a developing model . However it was noted that this model didn t reach all the stakeholders, as this study detected some gaps between the corporate governance practices and the perception of those interviewed

Por meio de um estudo de caso, é apresentado, avaliado e discutido a maneira pela qual conselheiros e integrantes da alta administração interagem na condução da empresa sob o foco das melhores práticas de governança corporativa. A pesquisa foi realizada pelo autor deste trabalho em 2005, junto aos conselheiros e dirigentes da empresa objeto deste estudo de caso, objetivando avaliar qualitativamente o modelo de governança adotado, comparando-o com o preconizado pelo Código das Melhores Práticas de Governança Corporativa do Instituto Brasileiro de Governança Corporativa (IBGC) e de outras instituições referências no tema, bem como as percepções dos gestores e conselheiros sobre o uso destas práticas como ferramenta de criação de valor para seus acionistas.
