This research seeks to identify the current state of corporate governance in the National Telecommunications Agency (ANATEL), analyzing issues involving key organizational characteristics and its relationship with society and other stakeholders. The theme is highly relevant today, given the situations of corruption involving large national and international corporations. These institutions are suffering from problem related to credibility, distrust, transparency and relationship with stakeholders, directly affecting business and results in modern organizations. The research study is centered in the area of telecommunications regulation, which is inserted ANATEL, present in all Brazilian states,in addition to its headquarters in the Federal District, involves a sector that is one of the most important to the economy and technological development Brazil and requires efficient regulation to respond to the needs of the whole society, investors and other interested parties. In this thesis, we look beyond the ANATEL, three other international regulatory agencies in the same segment, identifying the differences and similarities in these organizations, in order to suggest points for improvement of the model adopted in Brazil. In the theoretical framework we were adopted important authors such as Jean Tirole (Nobel Prize in Economics in 2014), Jensen & Meckling, Matias-Pereira, Sérgio Guerra, Herrera Peters Boyle, where issues related to were surveyed Governance, Governance, Analysis of Regulatory Impact Theory of regulation and the very creation of ANATEL for the purpose of further study, and we use important official manual of governance, such as the IBGC, OECD and IFAC. The research seeks to enrich the theme of Corporate Governance, addressing concepts applied in a regulator of great national and international relevance, where documentary research was carried out by locating ordinances, resolutions, annual reports and ombudsman of the Agency itself, as well as laws and decrees they relate to ANATEL. ten questions have been prepared for the purpose of verifying the implementation of Corporate Governance Regulatory Agency of Brazil, where the questions were answered by the reality found in official documents, showing positive and negative aspects, and suggestions on the improvement order and development of the current Corporate Governance model practiced in ANATEL.
