Stakeholder governance: insights from stakeholder engagement

Resumo: Stakeholder governance has gained traction as firms are increasingly urged to align corporate behavior with societal expectations. Yet, despite growing attention, the concept remains theoretically ambiguous and empirically underexplored. This study addresses the need for greater clarity by investigating the dynamics that motivate firms to adopt stakeholder governance. We define stakeholder governance as a strategic capability whereby businesses and stakeholders co-construct and sustain equitable and accountable relationships through meaningful engagement, integrating their interests and sharing responsibility in decision-making that guides organizational conduct. Grounded in stakeholder theory, we analyze the interplay between stakeholder engagement and governance. Since stakeholder engagement strategies aim at communicating corporate intent regarding these interactions, our rationale is that stakeholder engagement influences the adoption of stakeholder governance. Our research responds to recent calls for studies that move beyond normative aspirations and empirically examine stakeholder governance. To this end, this study has three main objectives: i) to provide clarification of the concept of stakeholder governance, detailing its definitions, significance, and impacts, ii) to examine the nuances and interconnections between stakeholder governance and stakeholder engagement, and iii) to test the role of stakeholder engagement strategies as determinants that shape the adoption of stakeholder governance. In this regard, we employ a quantitative research strategy analyzing a sample of Brazilian firms listed in the B3 that adhere to the Corporate Sustainability Index, enabling empirical testing of the relationships among these constructs from 2021 to 2023 through random effects regression analysis. Findings indicate that lower-complexity engagement is negatively associated with stakeholder governance, whereas higher-complexity engagement shows a positive association. These results contribute to both theory and practice by demonstrating how engagement dynamics shape stakeholder governance structures. Our discussion contributes to the theoretical debate by analyzing the conditions under which firms establish stakeholder governance. We conclude with reflections on the implications for stakeholder governance research and practice and highlight avenues for future research.

Não obstante a crescente atenção que tem sido direcionada ao tema, o conceito ainda é tratado com ambiguidade teórica e limitada exploração empírica. Neste estudo, busca-se preencher essa lacuna por meio da investigação das dinâmicas pelas quais a adoção da governança de stakeholders ocorre nas empresas. A governança de stakeholders é uma capacidade estratégica por meio da qual empresas e stakeholders co-constroem e sustentam relações equitativas e com responsabilização mútua, por meio de engajamento significativo, integrando seus interesses e compartilhando responsabilidades no processo decisório que orienta a conduta organizacional. Com base na teoria dos stakeholders, é analisada a interação entre engajamento e governança. Considerando que as estratégias de engajamento são utilizadas para comunicar as intenções corporativas nessas interações, argumenta-se que o engajamento influencia a adoção da governança. O presente estudo é conduzido como resposta a chamadas recentes por abordagens que explorem, de forma empírica, a governança de stakeholders. Para tanto, são definidos três objetivos principais: i) promover o esclarecimento conceitual da governança de stakeholders, detalhando definições, relevância e impactos; ii) examinar as nuances entre engajamento e governança; e iii) testar a influência das estratégias de engajamento como determinantes para adoção da governança. O estudo analisa, por meio de regressões de efeitos aleatórios, os relacionamentos entre os construtos em empresas brasileiras listadas na B3 e aderentes ao Índice de Sustentabilidade Empresarial, no período de 2021 a 2023. Os resultados indicam que o engajamento de menor complexidade está negativamente associado à governança de stakeholders, enquanto o engajamento de maior complexidade apresenta uma associação positiva. Assim, este estudo contribui para a teoria e para a prática ao evidenciar de que modo as dinâmicas de engajamento moldam as estruturas de governança. A discussão teórica é aprofundada por meio da análise das condições que conduzem as empresas à adoção da governança de stakeholders.
