Resumo: The purpose of this work is to analyze the possibility of abusive exercise of the right to withdrawal by partners of a limited liability company. Therefore, the legal grounds for the characterization of the abuse of rights are verified, considering the limits defined by Article 187 of the Brazilian Civil Code. The main characteristics of the limited liability company, as well as the rights, duties and obligations of the partners are analyzed in order to place the right of withdrawal, its grounds and its legal treatment. After identifying the necessary requirements to characterize the abuse of rights, the understanding of the legal nature of the limited liability company and the economic or social purpose of the right to withdrawal, there are established parameters in order to identify the abuse of the right to withdrawal in situations of violation of the limits imposed by its economic or social ends, by the principle of good faith and by good moral principles. At the end, some examples of potentially abusive situations are commented on.

Para tanto, são verificados os pressupostos legais para a caracterização do abuso do direito, tendo em vista os limites definidos no art. 187 do Código Civil. Em seguida, são examinadas as principais características da sociedade limitada, bem como definidos os direitos, deveres e obrigações dos sócios, a fim de situar, nesse contexto, o direito de retirada, seus fundamentos e seu tratamento legal. Após a identificação dos requisitos necessários para caracterizar o abuso do direito e de exposição acerca da natureza jurídica da sociedade limitada e do fim econômico ou social do direito de retirada do sócio, são apontados parâmetros para caracterização do abuso nas situações de violação dos limites impostos por seu fim econômico ou social, pela boa-fé e pelos bons costumes.
