As aquisições podem ser definidas como um processo corporativo estratégico em busca da obtenção de vantagens corporativas, em resposta às mudanças do mercado e da globalização. No entanto, os assuntos de responsabilidade socioambiental não são amplamente considerados como fatores críticos de sucesso nas atuais metodologias de aquisições e não são levadas em consideração em processos due diligence dentro do processo de aquisição. Dessa forma, o principal objetivo da pesquisa foi propor um framework do processo de negociação para aquisições entre empresas agroindustriais incluindo a responsabilidade corporativa socioambiental como assunto da negociação, alinhado com outros fatores como, por exemplo, o preço das aquisições. As questões ambientais são fatores críticos de sucesso que podem ser utilizados no processo de barganha da negociação. Conclui-se que as empresas com programas de responsabilidade socioambiental podem aumentar seu valor econômico em processos de negociação estratégica, quando a empresa adquirente percebe a implementação de programas socioambientalmente responsáveis como um recurso de sucesso para obter vantagem corporativa.CAPESAcquisitions processes along with other forms of strategic alliances between companies are proactive management methodologies to increase shareholder value, enter new markets, and obtain advanced technologies. Acquisitions can be defined as a strategic corporate process of group decision-making in search of corporate advantage to increase the economic value of a company and its shareholders and they are a response to the changes of the market and globalization. With the support of a methodology of elaboration of models, the main objective of the research was to create and to propose a framework of the process of negotiation in environments of acquisitions of agro industrial companies including the corporate responsibility. To achieve the result, a business acquisition procedure was first proposed. Social-environmental responsibility issues are not widely considered critical success factors in current procurement methodologies and are not taken into account in due diligence processes within the procurement process. With regard to the negotiation, it was possible to propose a negotiation structure in procurement environments, including socio-environmental responsibility as a negotiation subject along with other factors, for example the price of acquisitions. Environmental issues are a critical success factor that can be used in the negotiation bargaining process.
